1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and MYG Media SRL ("Company," "we," "us," or "our"), a Romanian limited liability company registered under number RO50059004.

By accessing our website (www.myg-media.com), using our services, or engaging with our content, you agree to be bound by these Terms. If you do not agree, you must cease using our services immediately.

2. Services Provided

MYG Media SRL provides the following professional services:

• AI Development and Implementation
• Custom Software Development
• Web Design and Development
• Business Process Automation
• IT Consulting Services
• AI Integration and Optimization
• Technical Support and Maintenance

Specific services, deliverables, timelines, and pricing are defined in individual service agreements or statements of work.

3. Intellectual Property Rights

3.2 Prohibited Uses

You are expressly prohibited from:

• Copying, reproducing, or distributing any content from this website
• Reverse engineering, decompiling, or disassembling any software or code
• Creating derivative works based on our intellectual property
• Using our content for commercial purposes without written permission
• Removing or altering copyright notices or proprietary markings
• Scraping, data mining, or automated data collection
• Claiming ownership or authorship of our work

3.3 Client Work Product

Upon full payment for services rendered, clients receive a limited license to use deliverables as specified in the service agreement. MYG Media SRL retains all rights to underlying technologies, methodologies, and reusable components.

3.4 Copyright Infringement

Unauthorized use of our intellectual property constitutes copyright infringement and will be prosecuted to the fullest extent of Romanian, EU, and international law. Violations may result in:

• Immediate legal action and injunctive relief
• Statutory damages up to €100,000 per infringement
• Criminal prosecution where applicable
• Recovery of legal fees and costs

4. User Obligations and Acceptable Use

When using our services or website, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials
• Use services only for lawful purposes
• Not engage in any activity that disrupts or interferes with our services
• Not attempt to gain unauthorized access to our systems
• Comply with all applicable laws and regulations
• Respect intellectual property rights

5. Payment Terms

5.1 Fees and Pricing

Service fees are as agreed in individual contracts or statements of work. All prices are in EUR unless otherwise specified and are exclusive of applicable taxes.

5.2 Payment Schedule

Payment terms are typically: 50% deposit before work commences, 50% upon completion. Other arrangements may be specified in service agreements. Invoices are due within 14 days of issue unless otherwise agreed.

5.3 Late Payment

Late payments incur interest at the rate of 8% per annum above the Romanian National Bank base rate. We reserve the right to suspend services for overdue accounts.

6. Artificial Intelligence Services

6.1 Third-Party AI Systems

Our services integrate third-party artificial intelligence systems including but not limited to:

• OpenAI (ChatGPT, GPT-4, GPT-3.5): Language models for text generation and analysis
• Anthropic (Claude): Constitutional AI for reasoning and content creation
• Google (Gemini): Multimodal AI for text, image, and document processing
• Other AI services: Speech-to-text, text-to-speech, and specialized AI tools as specified per project

6.2 Custom vs. Third-Party Solutions

Projects may involve custom software development, third-party service integration, or hybrid approaches:

(a) Custom Software: Code written by MYG Media SRL. Intellectual property rights defined in Section 3. We warrant custom code quality but NOT the underlying AI model outputs.

(b) Third-Party Integration: Configuration of SaaS platforms and APIs. Subject to third-party terms. MYG Media SRL provides integration services only, NOT the underlying platform.

(c) Hybrid: Custom logic built on third-party AI APIs. Client owns custom code; third-party owns AI capabilities.

The approach used for your project will be clearly specified in your Service Agreement or Statement of Work.

6.3 AI Output Limitations & No Accuracy Warranty

YOU ACKNOWLEDGE AND AGREE:

• AI outputs are suggestions, not facts or professional advice
• You MUST independently verify all AI-generated information before use
• AI cannot replace qualified professionals (lawyers, accountants, compliance officers, etc.)
• AI may exhibit bias based on training data - human review required
• AI training data has cutoff dates - information may be outdated
• AI lacks real-time knowledge unless explicitly provided by integrations

6.4 NOT Professional Advice

6.5 Client Validation Obligation

YOU ARE SOLELY RESPONSIBLE FOR:

• Validating all AI outputs before business use
• Ensuring AI suggestions align with applicable laws and regulations
• Reviewing AI-generated content for accuracy, appropriateness, and completeness
• Implementing human oversight and approval processes
• Making final business decisions - AI provides input only

Failure to validate AI outputs before use is at your own risk. MYG Media SRL is not liable for consequences of using unvalidated AI outputs.

6.6 Human Oversight & Right to Human Review

All AI systems include human oversight mechanisms. For high-risk applications (Trade Intelligence, compliance checking), human review is mandatory before action. You have the right to:

• Request human expert review of any AI output
• Override or reject AI suggestions
• Opt for human-only service delivery (where feasible, may affect pricing)

Our AI services comply with the EU Artificial Intelligence Act (Regulation (EU) 2024/1689). Full AI transparency disclosures available at myg-media.com/ai-disclosure.

For high-risk AI systems, we implement required safeguards including risk assessments, human oversight, accuracy monitoring, and bias mitigation. However, we cannot guarantee zero-risk operation of any AI system.

7. Warranties and Disclaimers

6.1 Service Warranty

We warrant that services will be performed with reasonable skill and care consistent with industry standards. This warranty is valid for 30 days from delivery unless otherwise specified.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information exchanged during the course of business. This obligation survives termination of services for 5 years.

Confidential information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

9. Termination

Either party may terminate services with 30 days written notice. We reserve the right to terminate immediately for: (a) breach of these Terms, (b) non-payment, (c) illegal activity, or (d) conduct that damages our reputation.

Upon termination, you must immediately cease using our services and destroy any confidential information. All outstanding fees become immediately due.

10. Governing Law and Jurisdiction

These Terms are governed by Romanian law and EU regulations. Any disputes shall be subject to the exclusive jurisdiction of the courts of Suceava, Romania.

For cross-border disputes, the Vienna Convention on Contracts for the International Sale of Goods shall apply where applicable.

11. General Provisions

11.1 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

11.2 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement and supersede all prior agreements.

11.3 Amendment

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice 30 days before taking effect.

11.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

11.5 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights to any successor or affiliate.

These Terms comply with Romanian Commercial Law, EU Directive 2000/31/EC (E-Commerce Directive), and applicable international law.
